Terms & Conditions

Trade Data Systems (TDS) is business software provided by Sherburn DIY Ltd. It is intended to assist businesses with their operations and records, including quotes, invoices, scheduling, and expense tracking.

By accessing or using TDS, you agree to these Terms & Conditions. If you do not agree, you should not use TDS.

To use TDS, you may need to create an account. You agree to:

• provide accurate and complete information when creating your account
• keep your login credentials secure and confidential
• not share your account or login credentials with others improperly
• take responsibility for all activity carried out through your account

If you become aware of any unauthorised use of your account, you should notify us promptly.

TDS is offered on a subscription basis with the following plans:

TDS Solo

• £19.99 per month or £240 per year
• Maximum 1 active user
• The Business Owner counts as that user

TDS Managed

• £34 per month or £374 per year
• Maximum 5 active users
• The Business Owner counts as one of those users

The prices displayed during purchase will apply to your subscription. Annual subscriptions are billed annually in advance, and monthly subscriptions are billed monthly.

Eligible new subscriptions may receive a 7-day free trial where offered at checkout. The following terms apply:

• Payment details may be collected when you start the trial
• No subscription fee is charged during the free-trial period
• Unless you cancel before the trial ends, your selected paid subscription will begin automatically at the end of the trial
• Stripe will then charge your payment method according to your selected monthly or annual plan
• If you do not wish to continue with the paid subscription, you should cancel before the trial ends

Payments are processed using Stripe. You must provide a valid payment method to use a paid subscription.

If a payment fails, we may make further attempts to collect payment. If payment remains outstanding after reasonable attempts and, where appropriate, notice, your access to TDS may be restricted or suspended until payment is received. We will not make unsupported claims about Stripe's exact retry schedule.

You can cancel your subscription at any time. Cancellation will prevent future renewal charges in accordance with the cancellation terms presented to you at the time of cancellation.

We do not automatically provide refunds for cancelled subscriptions unless required by an established refund policy or by applicable law. Your statutory rights are not affected.

Because TDS is primarily a business-to-business product, consumer cancellation rights (such as those under the Consumer Contracts Regulations) may not apply to all customers. If you are unsure whether consumer rights apply to you, you should seek independent advice.

TDS Solo permits a maximum of 1 active user. TDS Managed permits a maximum of 5 active users.

If you are on the Solo plan and need to add additional users, you may be required to upgrade to the Managed plan.

If you are on the Managed plan with more than one active user and you downgrade to Solo, TDS will not automatically delete your existing users solely because of the downgrade. However, account and user functionality may be restricted until your account complies with the Solo user limit (1 active user).

You retain responsibility for the data and content you enter into TDS. You must have the necessary rights and lawful basis to enter and use information relating to your customers, employees, contractors or other people.

TDS must not be used to store or process information unlawfully.

You must not:

• use TDS unlawfully
• attempt to gain unauthorised access to TDS, its systems or data
• interfere with the security or operation of TDS
• introduce malware, viruses or other harmful code
• abuse the service or use it in a way that could damage or disrupt it
• use another person's account without their permission
• attempt to reverse engineer or misuse the service, except where permitted by law
• use TDS to infringe the rights of third parties

We will make reasonable efforts to keep TDS available and reliable. However, we cannot guarantee uninterrupted or error-free availability. TDS may be temporarily unavailable due to maintenance, updates, security work, or circumstances outside our reasonable control.

TDS may be updated, improved or changed over time. We will take reasonable account of the impact on customers when making changes to features included in paid plans and will not remove core paid functionality without reasonable consideration for existing subscribers.

You are responsible for checking information produced or stored using TDS where appropriate. TDS is a business administration tool and does not constitute professional legal, accounting, tax or financial advice. You should seek appropriate professional advice where needed.

The TDS software, branding, website content and related intellectual property belong to Sherburn DIY Ltd and/or its licensors as applicable.

You retain appropriate rights to the data and content you enter into TDS.

To the extent permitted by law, Sherburn DIY Ltd's liability arising out of or in connection with your use of TDS shall be limited to the amount you have paid for TDS in the twelve months preceding the event giving rise to the claim, or such other amount as may be required by law.

Nothing in these terms excludes or limits liability that cannot legally be excluded or limited under UK law, including liability for death or personal injury caused by negligence and liability for fraud or fraudulent misrepresentation.

This limitation is intended to be reasonable for a business-to-business SaaS product. We recommend that you obtain professional legal review before relying on any specific financial liability cap, as the appropriateness of a liability cap may depend on your particular circumstances.

We may suspend or terminate your access to TDS where there are serious or repeated breaches of these terms, unlawful use, security threats, or non-payment, subject to applicable law and the particular circumstances.

You may stop using TDS at any time. Upon termination, your right to use TDS will end, and we may delete your data in accordance with our retention practices and legal obligations.

We may update these Terms & Conditions from time to time. Where we make material changes, we will communicate them appropriately, for example by notifying you within TDS or by email. Continued use of TDS after changes take effect constitutes acceptance of the updated terms.

These Terms & Conditions are governed by the laws of England and Wales, subject to any mandatory legal rights that may apply to you.
